COMMERCIAL ONBOARDING SALE AGREEMENT

Applications and approval may continue while payment remains disabled. WMP presents this exact version again before an enabled onboarding checkout.
1. Scope and separate agreements
This agreement governs the purchase of What's My Plans (WMP) commercial onboarding and verification for an approved service-provider business or an approved physical venue listing. It is a sale of WMP's own onboarding service. It does not authorise WMP to collect, hold or pay out money for a provider booking, and it does not replace the Provider Marketplace Agreement or the separate marketplace payment-v2 terms.
2. Approval before any charge
A provider applies and supplies the review information requested by WMP before checkout is offered. WMP does not charge a rejected application. Approval means the application may proceed to onboarding payment; it does not activate a badge, reduced commission rate or public verified status by itself.
3. Setup price and server-derived amount
Under this version, verified-service onboarding is R1,000 per provider business and verified-venue onboarding is R1,000 per approved physical venue listing. The server derives the applicable plan, setup fee, approved credit, waiver, currency and amount due from WMP records. A browser-supplied amount is never authoritative. The order stores the pricing and legal versions used for the sale.
4. Legacy credit and administrative waiver
A successfully paid DJ or photographer verification may be recognised as onboarding credit, up to a maximum of R1,000 and never above the setup fee. Credit is not cash, cannot be withdrawn and cannot create a negative amount due. WMP may record a full or partial administrative waiver, including a founding-partner waiver. A waiver must be approved and recorded by WMP before activation and has no cash value.
5. Current VAT and processing treatment
WMP does not currently charge VAT on this onboarding sale and issues an ordinary invoice rather than a VAT invoice. No separate payment-processing recovery is added under this version. This statement applies only while WMP remains configured as non-VAT-registered. A future tax or fee change applies prospectively through a new effective schedule and, where required, a new agreement version; historical orders are not rewritten.
6. Verified payment and activation
Starting checkout, seeing a browser success page or receiving an unverified callback does not complete payment. WMP activates the commercial account, badge and reduced marketplace rate only after an idempotently verified payment-provider confirmation, or after WMP records an approved full credit or waiver. Provider-booking collection and payouts remain separately controlled even after onboarding activation.
7. Late, duplicate and unsafe success receipts
If an old, duplicate or late payment attempt succeeds after a newer attempt, after approval is withdrawn, after the account is already settled, or without sufficient processor evidence, WMP will not automatically activate the account or recognise the receipt as onboarding revenue. WMP records the money in an exception or refund hold and sends it for manual review so that a duplicate activation or unsupported accounting entry is not created.
8. Cancellation, refunds and manual review
Rejected applications are not charged. A cancellation or refund request is reviewed according to applicable law, the payment-provider path, work already performed and the circumstances of the request. A verified duplicate, late or otherwise unsafe receipt is held for manual review and, where a refund is due, returned through a supported original payment method. WMP marks a refund complete only after verified refund evidence; a request, browser message or internal note is not a completed refund.
9. Verification integrity and later suspension
Payment does not guarantee indefinite verification. The provider must keep its identity, business, venue and listing information accurate and comply with the Provider Marketplace Agreement. WMP may correct, suspend or remove a badge or rate for fraud, false information, safety concerns, material breach, legal requirements or payment reversal. Any refund or recovery is handled separately and is not invented merely because a badge is reviewed.
10. Electronic acceptance and records
WMP records the accepting profile, agreement key and version, time, role, source screen and proportionate device or app evidence. The acceptance, server-derived order, payment evidence, credit or waiver and accounting record remain linked. A later agreement version applies only to future affected actions and does not reinterpret this acceptance.
11. Governing law, review status and contact
These terms are governed by the laws of the Republic of South Africa and remain pending South African counsel review. Nothing excludes a right or remedy that cannot lawfully be excluded.
